Business documents come in all shapes and sizes and serve various purposes. We are specialised in European investment memorandums for attracting start and growth capital. Our highly skilled associates contribute to a confidential information memorandum (EU-CIM) or private placement memorandum (EU-PPM) consisting of a careful arrangement and analysis of the investment contemplations of the business and presented to interested parties.
You are probably familiar with terms: Memorandum and Prospectus. But these documents aren’t exactly the same, and they’re used in specific situations regarding your needs, expectations, and goals.
A memorandum is a document written by us for private offerings to investors, while a prospectus is a specialised document, written by a securities lawyer for public offerings like an initial public offering. From five million euro onwards, a prospectus requires approval of a European financial services regulatory authority and is highly regulated, whereas a memorandum does not require approval and is more flexible for private deals, though it still needs to comply with European regulations and disclose risks.
Both documents are high quality presentations with the information needed to close a potential deal, containing a comprehensive overview of a company, including financial data, market analysis, risk, management, and product or service information. There is no one-size-fits-all document, so it is advisable to consult your own qualified financial advisor or solicitor for advice specific to your situation.
